Public Offer

Version of 21 September 2026. Agreement for the provision of QR✓OK services to food service venues. This English version is provided for convenience; the Russian version prevails.

The Provider (see Section 13) offers legal entities and individual entrepreneurs providing food services (the "Customer") to enter into an agreement on the terms of this Public Offer (the "Agreement").

1. Definitions

1.1. QR✓OK Service (the Service) means the Provider's software system: the qrok.uz website, the admin panel, the app for the POS software and the Telegram bot @qrokuzbot.

1.2. Pre-bill means the document listing the order items and the amount due that the Customer's POS software prints before payment.

1.3. UzQR means the unified payment QR code of the Republic of Uzbekistan issued to the Customer by its acquiring bank.

1.4. Tips Page means the web page of the Customer's waiter on the qrok.uz website showing the waiter's name, photo (optional) and details for transferring tips.

1.5. Scan means the opening of a Tips Page via the code on a Pre-bill. Scans of the same bill within one month count as one.

1.6. Active Waiter means a waiter whose Tips Page was opened for at least 5 (five) different bills in the Billing Month.

1.7. Billing Month means a calendar month in Tashkent time (UTC+5).

2. Subject of the Agreement

The Provider is not a payment institution, a bank payment agent or a party to these payments.

2.3. The Provider does not guarantee that guests will pay or leave tips and is not responsible for the amounts, timing or fees of these payments. These are determined by banks and payment apps.

3. Acceptance and Conclusion of the Agreement

3.1. Any of the following actions constitutes acceptance of this Offer:

4.4. The Customer independently determines, and is responsible for, the procedure for confirming payment of a bill and closing an order in the POS software, including issuing the fiscal receipt. The Service does not notify the Customer of payments received via UzQR.

5. Pricing and Payment

5.1. The plans are published on the Pricing page and, as of the date of this version, are as follows:

The minimum payment on paid plans is 125,000 sum per month.

5.2. The services are provided free of charge until the end of the Billing Month in which the first Pre-bill is printed through the Service, and for the whole of the following Billing Month. For a chain, this period is counted for each venue separately. The first paid Billing Month is the second one after the month of the first Pre-bill: for example, with the first Pre-bill on 10 October the services are free until 30 November and the first invoice is for December.

5.3. Until the Provider's details are published in Section 13, all services are provided free of charge as part of the pilot launch and no invoices are issued. The Provider notifies the Customer of the start of the paid period at least 30 (thirty) days in advance. The periods under clauses 5.2 and 5.3 run at the same time: the paid period starts on the 1st day of the Billing Month once both have ended.

5.4. No later than the 5th day of each month, the Provider issues an invoice for the previous Billing Month. The invoice lists the Active Waiters and the number of Scans for each. The Customer pays the invoice within 10 (ten) banking days by transfer to the Provider's settlement account.

5.5. Waiters' tips are not included in the calculation of the service fee. The Provider does not deduct any amounts from them.

5.6. The Provider may change the plans by notifying the Customer at least 30 (thirty) days in advance. The new plans apply from the first full Billing Month after that period.

5.7. The Service's Scan statistics are the basis for the calculation. The Customer may request a detailed breakdown.

7. Personal Data

7.1. The Service processes the personal data of:

7.2. The data is processed only to provide the services under the Agreement: displaying Tips Pages, communication, support and billing.

7.3. The Customer transfers waiters' data with their consent. A waiter connects to the Service through the Telegram bot personally and may change or delete their data at any time by writing to the bot.

7.4. The categories of data, purposes, retention periods, storage location and rights of data subjects are described in the Privacy Policy, which forms part of the Agreement.

7.5. Waiters' card numbers are shown to guests on Tips Pages only for the purpose of transferring tips. They are not disclosed to any other third parties.

7.6. Service messages. So that a waiter can connect to the Service, the Contractor may send an SMS or a Telegram message with a connection link to the waiter's phone number received from the Customer, and, once the waiter is connected, messages about the operation of their Tips Page. Such messages are sent on behalf and on the instruction of the Customer, are of a service nature and contain no advertising. The Customer confirms that it is entitled to pass the waiters' phone numbers to the Contractor and that the waiters have been informed of this transfer and its purposes. SMS are delivered through a telecom operator or an SMS aggregator in the Republic of Uzbekistan, which receive the phone number and the message text for that purpose. A waiter may opt out of the messages by writing to the bot or telling the Customer.

8. Liability

8.1. The Service is provided "as is". The Provider is not liable for:

8.2. The Provider's aggregate liability under the Agreement is limited to the amount paid by the Customer for the last 3 (three) Billing Months.

8.3. The parties are released from liability for failure to perform their obligations due to force majeure.

9. Confidentiality

9.1. The parties do not disclose to third parties each other's commercial information obtained in performing the Agreement, except as required by law.

10. Term and Termination

10.1. The Customer may terminate the Agreement at any time by notifying the Provider through the Telegram bot or by email. Services are paid up to the date of termination.

10.2. The Provider may terminate the Agreement by notifying the Customer at least 30 days in advance, or immediately in the event of a material breach of clause 6.4 by the Customer.

11. Governing Law and Disputes

11.1. The Agreement is governed by the law of the Republic of Uzbekistan.

11.2. Disputes are resolved through negotiation. If no agreement is reached, the dispute is referred to the economic court at the Provider's location.

12. Changes to the Offer

12.1. The Provider may change this Offer by publishing a new version on this page at least 15 days before it takes effect. Continued use of the Service means acceptance of the new version.

13. Provider Details

The Provider is a legal entity being registered in the Republic of Uzbekistan. Its name, taxpayer identification number (TIN), address and bank details will be published in this section after state registration; until then, clause 5.3 applies.
